Terms and Conditions
These Terms and Conditions ("Terms") govern your use of MyCook, a digital platform owned and operated by Posads Company Nigeria Ltd("Posads", "we", "us", or "our").
By accessing or using MyCook, you agree to be bound by these Terms. If you do not agree, you must not use the platform.
1. About MyCook
MyCook is a technology platform that enables users to schedule meals, manage food plans, and coordinate meal preparation and delivery through independent kitchens.
MyCook does not prepare or cook meals. All meals are prepared and fulfilled by independent kitchens.
2. Ownership and Identity
MyCook is a product of Posads Company Nigeria Ltd.
All payments, communications, and transaction records may reference "Posads". Such references are legitimate and part of the MyCook system.
3. Eligibility
You must be at least 18 years old or have the consent of a parent or guardian to use MyCook.
4. User Accounts
You are responsible for maintaining the confidentiality of your account and for all activities under your account.
5. Meal Scheduling and Cut-Off Rules
Meals must be scheduled in advance and are subject to defined cut-off times.
Once a meal is locked for preparation, it cannot be modified or cancelled.
6. Payments and Wallet
Payments are made into accounts provided by Posads Company Nigeria Ltd.
Deposited funds are converted into a meal balance and can only be used within MyCook.
MyCook does not provide banking or financial services.
7. Refund Policy
Payments are generally non-refundable once converted into meal balance.
Refunds may be granted at our discretion in cases of failed delivery, system errors, or verified complaints.
8. Kitchen Responsibility
Kitchens are independent providers responsible for food preparation, hygiene, and quality.
Posads does not guarantee meal quality but may enforce platform standards.
9. Delivery
Delivery times are estimates and may be affected by operational factors.
10. Limitation of Liability
To the fullest extent permitted by Nigerian law, Posads shall not be liable for indirect or consequential damages.
Our total liability shall not exceed the amount paid for the affected service.
11. Prohibited Use
You agree not to misuse the platform, attempt fraud, or interfere with system operations.
12. Termination
We reserve the right to suspend or terminate accounts that violate these Terms.
13. Data and Privacy
Your data is processed in accordance with applicable Nigerian data protection laws.
14. Intellectual Property
All rights to MyCook, including software and design, are owned by Posads.
15. Force Majeure
We are not liable for delays or failures caused by events beyond our control.
16. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria.
17. Additional Terms for Kitchens
This section applies to users who register or operate as kitchens on MyCook ("Kitchens").
17.1 Independent Contractor Status
Kitchens operate as independent service providers and are not employees, agents, or partners of Posads Company Nigeria Ltd.
17.2 Kitchen Responsibilities
Kitchens are solely responsible for:
- Food preparation and quality
- Hygiene and safety standards
- Accurate meal preparation according to orders
- Timely fulfillment of scheduled meals
17.3 Compliance with Laws
Kitchens must comply with all applicable Nigerian laws and regulations, including food safety, health, and business registration requirements.
17.4 Meal Acceptance and Fulfillment
Kitchens are required to fulfill all confirmed and locked meal schedules assigned to them.
Failure to fulfill scheduled meals may result in penalties, suspension, or removal from the platform.
17.5 Service Standards
Posads reserves the right to set and enforce service standards for kitchens, including quality benchmarks, preparation timelines, and operational guidelines.
17.6 Pricing and Payments
Pricing for meals may be determined or influenced by the MyCook system.
Payments to kitchens shall be processed according to platform rules and may be subject to deductions, commissions, or adjustments where applicable.
17.7 Suspension and Removal
Posads may suspend or remove a kitchen from the platform for:
- Poor service quality
- Failure to fulfill orders
- Violation of these Terms
- User complaints or safety concerns
17.8 Liability for Food and Service
Kitchens bear full responsibility for any issues arising from food quality, contamination, or preparation.
Posads shall not be liable for damages resulting from kitchen actions.
17.9 Data Access and Use
Kitchens may receive limited user data necessary for order fulfillment.
Such data must only be used for fulfilling orders and must not be stored, shared, or misused.
17.10 Platform Control
Posads retains full control over platform operations, including:
- Order allocation
- Kitchen visibility
- System rules and processes
18. Additional Terms for Ambassadors
This section applies to users who participate in the MyCook Ambassador Program ("Ambassadors").
18.1 Independent Status
Ambassadors operate as independent participants and are not employees, agents, or representatives of Posads Company Nigeria Ltd.
18.2 Eligibility and Participation
Participation in the Ambassador Program is subject to approval by MyCook.
Ambassadors must maintain an active MyCook account and comply with all platform rules and policies.
18.3 Ambassador Responsibilities
Ambassadors agree to:
- Promote MyCook honestly and responsibly
- Provide accurate information about the platform
- Avoid misleading claims or exaggerated promises
- Represent the MyCook brand respectfully
18.4 Earnings and Rewards
Ambassadors may earn rewards based on platform-defined rules, including referral activity and qualifying meals.
Only valid and completed transactions qualify for rewards. Cancelled or refunded transactions are excluded.
18.5 Qualifying Activity
Rewards are only earned for activities that are successfully completed within the platform, including meals that are ordered, paid for, and fulfilled.
18.6 Payment and Payouts
Ambassador earnings are calculated periodically and paid according to MyCook’s payout schedule.
Posads reserves the right to adjust payout structures, reward rates, and evaluation criteria at any time.
18.7 Non-Circumvention
Ambassadors must not bypass the MyCook platform, collect payments outside the system, or arrange transactions independently of the platform.
18.8 Prohibited Conduct
Ambassadors must not:
- Misrepresent MyCook services or pricing
- Engage in fraud, spam, or deceptive practices
- Promote competing services in a conflicting manner
- Misuse MyCook brand assets
18.9 Program Control and Modifications
Posads reserves the right to modify the Ambassador Program, including eligibility, reward structures, and operational rules, at any time.
18.10 Suspension and Termination
Ambassadors may be suspended or removed from the program for:
- Violation of these Terms
- Fraudulent or abusive behavior
- Actions that harm the MyCook platform or reputation
Pending or unpaid rewards may be withheld in cases of misconduct.
18.11 Data and Confidentiality
Ambassadors must not disclose confidential information relating to MyCook operations, pricing, or systems.
19. Changes to These Terms
Posads Company Nigeria Ltd reserves the right to update or modify these Terms at any time.
Updated Terms shall become effective upon being published on the MyCook platform.
Continued use of MyCook after such updates constitutes acceptance of the revised Terms.
20. Communication and Notices
By using MyCook, you agree to receive communications from us, including updates, notifications, and service-related messages.
Such communications may be delivered via the platform, email, or other available channels.
21. Dispute Resolution
Any disputes arising from the use of MyCook shall first be resolved through good faith negotiation.
Where resolution cannot be reached, disputes may be referred to mediation or arbitration before resorting to litigation.
22. Service Availability
MyCook is provided on an "as is" and "as available" basis.
Posads does not guarantee uninterrupted or error-free operation of the platform.
23. Fraud and Suspicious Activity
Posads reserves the right to investigate, suspend, or restrict accounts involved in suspected fraudulent or abusive activity.
This may include withholding balances or rewards pending investigation.
24. Meal Balance
Meal balances are non-transferable and may not be withdrawn as cash.
Posads reserves the right to define validity periods or usage conditions for balances.
